These Terms of Service ("Terms") govern your access to and use of ComplyAtlas during the beta period. By accessing or using the Service, you agree to these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Service Description
ComplyAtlas provides informational monitoring of publicly available contractor-related records (such as license status) and tracks Certificate of Insurance (COI) expiry dates from documents uploaded by the user.
What ComplyAtlas Does NOT Provide
- Legal advice or legal opinions
- Certification, verification, or approval of contractors
- Verification of insurance coverage with insurers — we do not contact insurance carriers, brokers, or agents
- Confirmation that insurance policies are active, in force, or sufficient
- Guarantees of accuracy, completeness, or timeliness of any data including extracted COI information
- Real-time monitoring or instant updates
- Hiring recommendations or contractor endorsements
- Replacement for official state licensing boards or direct insurer verification
The Service is designed to provide informational awareness only and does not constitute verification, certification, or approval of any individual, entity, license, or insurance status.
1.1 Data Coverage Scope (Beta)
During the beta period, ComplyAtlas may surface the following based on publicly available records:
- Contractor License Status: Visible status changes from public license records
- License Expiration: Expiration indicators as shown at time of review
- Classifications: Trade classifications listed in public records
- Workers' Compensation: Indicators if displayed in license records (does not verify coverage or monitor insurers)
- Bonds: Bond indicators if publicly displayed (does not confirm sufficiency)
- COI Insurance Expiry: Expiry dates extracted from Certificate of Insurance documents uploaded by the user (available for all U.S. states)
⚠️ COI Document Tracking Limitations
- COI tracking is based solely on documents you upload — ComplyAtlas does not independently obtain or update COI documents
- We extract expiry dates automatically; extraction may contain errors due to document quality or formatting
- We do not contact insurance carriers, brokers, or agents to verify that policies are active, in force, or sufficient
- A COI showing a future expiry date does not mean the underlying policy is currently active — policies can be cancelled or non-renewed at any time without notice to ComplyAtlas
- You are solely responsible for the accuracy and authenticity of documents you upload
- COI tracking is an "informational convenience" — not insurance verification, compliance confirmation, or professional advice
Not monitored during beta:
- Company legal status (LLC, SOS, corporate filings)
- Permit status (city-level data varies by jurisdiction)
- Insurance policies directly with insurers
2. Beta Status
The Service is provided as a limited beta:
- Features, coverage, frequency, and accuracy may change or be discontinued at any time without notice
- Monitoring is scheduled (weekly), not real-time
- State or jurisdiction coverage for license monitoring may be incomplete or limited
- COI document processing may have limitations in extraction accuracy
- The Service may contain errors, bugs, or interruptions
- Beta pricing is subject to change
- ComplyAtlas may modify, suspend, or discontinue any feature (including COI tracking) at any time
3. No Reliance / Independent Verification
You acknowledge and agree that:
- ComplyAtlas outputs are informational only
- You remain solely responsible for independently verifying contractor status with official authorities
- You are solely responsible for independently verifying insurance coverage directly with the insurer, agent, or broker — a COI expiry date shown in ComplyAtlas is not a substitute for confirmation from the insurance carrier
- A current COI expiry date does not guarantee that insurance coverage is active, sufficient, or compliant with your requirements
- ComplyAtlas is not a substitute for due diligence, legal counsel, or regulatory compliance
- A valid license status does not guarantee contractor quality, reliability, or integrity
- You will not rely solely on ComplyAtlas for hiring, contracting, or business decisions
Important: Always confirm critical details directly with official state licensing boards, issuing authorities, and insurance carriers before making any decisions.
3.1 User-Uploaded Documents
When uploading COI documents or other files to ComplyAtlas, you represent and agree that:
- You have the legal right to upload and share the document
- You are solely responsible for the accuracy, authenticity, and completeness of all uploaded documents
- ComplyAtlas processes uploaded documents automatically and does not manually review, validate, or authenticate them
- Extraction of dates, names, and other information from uploaded documents is automated and may contain errors
- You agree not to upload fraudulent, altered, or forged documents
- You agree not to upload documents containing sensitive personal information beyond standard COI fields
3.2 Data and Document Storage
- ComplyAtlas stores uploaded COI documents and extracted data for the purpose of providing the Service
- Upon cancellation, documents and extracted data may be deleted after a reasonable retention period (typically 90 days)
- ComplyAtlas is not obligated to retain or return uploaded documents after service termination
- You are responsible for maintaining your own copies of all documents you upload
- We implement reasonable security measures but cannot guarantee against unauthorized access, loss, or corruption
4. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts. Both homeowners and contractors may use the Service, but responsibilities and risks remain the same for all users.
5. Subscription, Billing, Cancellation, and Usage
5.1 Subscription Term
ComplyAtlas subscriptions are billed on a monthly, prepaid basis. All subscription plans include both license monitoring (for supported states) and COI expiry tracking (for all U.S. states). Each billing period begins on the subscription date and renews automatically each month unless canceled before the next billing date.
5.2 Charges
- When you subscribe, you are charged immediately for the current billing month
- Charges apply to service availability, not guaranteed usage or results
- Fees are non-refundable except as expressly stated in our Refund Policy
- Partial-month usage, unused time, or early cancellation do not result in prorated refunds
- No refunds for subscription periods where monitoring or COI alerts were delivered
5.3 Cancellation
- You may cancel your subscription at any time through your account or by contacting support@complyatlas.com
- If you cancel after a billing period has started, your subscription will remain active until the end of the current billing period
- Cancel before your next billing date to avoid being charged for the next month
- Cancellations apply only to future billing periods and do not retroactively void charges already incurred
5.4 No Rollover of Unused Monitoring
Important Billing Notice
- Monitoring access, checks, or usage not utilized during a billing month do not roll over to subsequent months
- Unused monitoring capacity expires at the end of each billing period, regardless of account activity or non-use
- ComplyAtlas does not offer usage banking, carry-forward credits, or retroactive application of unused services
Failure to submit, activate, or use monitoring during a billing period does not entitle you to refunds, credits, extensions, or rollover benefits.
6. Refunds and Credits
Refunds or credits are discretionary, not automatic. Any refund or credit, if provided, is granted solely at ComplyAtlas's discretion and is not guaranteed, including where information provided through the Service is outdated, incomplete, delayed, or incorrect.
The Service is informational only, and inaccuracies in public or third-party records do not, by themselves, constitute a service failure or create any obligation to issue a refund.
6.1 Standard Refunds (General Cases)
In general cases, any refund or credit, if approved, shall be limited to the subscription fees actually paid for the specific billing period during which the alleged issue occurred.
Refund eligibility requires submission of specific, verifiable evidence, including:
- The monitored entity (contractor/license)
- The applicable billing period
- Supporting documentation from official sources
General allegations of loss, reliance, dissatisfaction, or outcome are insufficient.
6.2 Exceptional Circumstances
In rare and exceptional circumstances involving formal dispute resolution, arbitration, or extraordinary verified service failures solely attributable to ComplyAtlas, ComplyAtlas may, at its sole discretion, offer a goodwill payment exceeding the applicable billing-period fees.
Any such payment:
- Shall not exceed USD $200 in total
- Represents a maximum legal cap, not an entitlement
- Does not constitute an admission of fault or liability
- Does not establish precedent for future claims
6.3 Exclusions
What Does NOT Qualify for Refunds or Increased Liability
Alleged losses, consequential damages, indirect impacts, project delays, insurance changes, funding issues, or downstream effects — regardless of magnitude — do not increase refund eligibility or liability limits.
7. Limitation of Liability (Critical)
To the maximum extent permitted by law, ComplyAtlas shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or goodwill
- Project delays or contractor issues
- Decisions made based on Service information
- Failure to independently verify information
- Errors, omissions, or delays in public records
Liability Cap
In all cases, ComplyAtlas's total cumulative liability arising from or related to the Service shall not exceed the lesser of:
- The amount paid for the specific billing month in which the event giving rise to the claim occurred; or
- USD $200, as an absolute maximum cap
This limitation applies regardless of the legal theory asserted and constitutes the user's exclusive remedy.
8. No Warranty
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of information, including information extracted from user-uploaded COI documents
- That COI expiry dates extracted from uploaded documents are accurate or reflect the current status of any insurance policy
- That alerts will be delivered on time or at all
- Uninterrupted or error-free operation
Public records, third-party data sources, and user-uploaded documents may contain errors, delays, or omissions that are beyond ComplyAtlas's control. Insurance policies may be cancelled, non-renewed, or modified without notice to ComplyAtlas.
9. Indemnification
You agree to indemnify, defend, and hold harmless ComplyAtlas, Homenids LLC, and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your reliance on Service outputs
- Your violation of these Terms
- Documents you upload to the Service, including any claims arising from inaccurate, fraudulent, or unauthorized documents
- Decisions made based on information provided by the Service
- Your failure to independently verify license or insurance information with official sources
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:
- Your right to use the Service ceases immediately
- No refunds will be issued for the current billing period
- Sections relating to liability, indemnification, and governing law survive termination
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-law principles.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits or class-wide arbitration.
12. Changes to Terms
We may update these Terms at any time during the beta period. Continued use of the Service after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or through the Service.

Notice: Messages sent to this address are reviewed for routing purposes, but submission does not create any legal obligation, liability admission, or response guarantee. Requests do not guarantee eligibility for refunds, credits, or compensation and will be evaluated at ComplyAtlas's sole discretion.
